TCL sets out heat pump expansion plans as HK$5.61bn HVAC deal moves forward

China – TCL Electronics has identified heat pumps as a growth area for its HVAC business as a proposed HK$5.61 billion deal to bring control of TCL Air Conditioner into the listed company moves forward. The latest transaction documents set out plans to expand beyond residential air conditioning into heat pumps and commercial HVAC, alongside TCL’s developing European R290 and R32 presence.

TCL Electronics is the listed consumer-electronics arm of Chinese group TCL. The connected transaction, first announced in July, would see it acquire a holding company that indirectly owns 51% of the group’s China-based TCL Air Conditioner business. The remaining 49% would stay within the wider TCL group.

Heat pumps identified for expansion

A detailed shareholder circular published on 24 August says TCL Air Conditioner plans to expand into heat pump systems and commercial air conditioning, with TCL Electronics’ existing channels expected to support distribution, particularly in overseas markets.

Major HVAC manufacturing base

TCL says the target air-conditioning business recorded sales of more than 22 million units in 2025 and has more than 10 production bases, with annual production capacity exceeding 38 million units.

The proposed deal is intended to combine that manufacturing scale with TCL Electronics’ established international sales and distribution channels.

European heat pump presence develops

TCL already markets R290 and R32 air-to-water heat pumps across Europe and operates a dedicated European Heat Pump Department.

Its R290 Tri-Thermal Ultra AI monobloc range covers 4 kW to 16 kW. TCL claims leaving-water temperatures of up to 80°C at -10°C ambient and A+++ ratings at both 35°C and 55°C.

Commercial routes are also established in some markets. Platmech is TCL’s exclusive heat-pump distributor in Ireland, TCL France directs customers to partner distributors and installers, and its Polish operation provides ‘where to buy’ routes for heat-pump products.

Deal awaits shareholder approval

The acquisition remains subject to shareholder approval, with an extraordinary general meeting scheduled for 9 October. TCL expects completion in the fourth quarter of 2026.

TCL has not identified individual European markets for the next stage of expansion, but the explicit inclusion of heat pumps in the air-conditioning business’s growth plans points to a broader push into the sector.
